Definition
Business Ethics Moral principles in conducting fair and righteous business of Mc Group Public Company Limited in order to maintain the Company’s reputation.

Executive Chairman of the Board of Directors/ Chief Executive Officer/ Chief Operation Officer/ Chief Finance Officer/ Directors/ Managers
Employee Employees at management level or equivalent and below.
Company Personnel Executives and employees.
Asset Company assets including movable and immovable assets, technology, copyrights, patents, documents of titles and inventions of the Company.
Company Information Information with economic values in the present and the future that is owned or controlled by the Company.
Stakeholder  A person or a legal entity that has an investment, share, or interest in the business of the Company ie shareholders, executives, employees, trading partners, competitors, customers, debtors as well as the society in general.
Rule of Law Decision makings and business conducts that comply with laws and related internal and external rules and regulations.
Transparency Public disclosure o the code of conduct and rationales behind decision making under applicable laws, rules and regulations.
Morality and Justice Work conducts that are fair, equitable for all related parties.
Honesty Work conducts that conform to the Company’s rules and regulations.
Responsibility Awareness of one’s duties and performance of those duties with the best efforts.
Accountability Liability of one’s actions for both positive and negative outcomes.

Business Ethics

Executives and employees shall adhere to these business ethics as guiding principles in performing their duties as a representative of the Company

Rule of Law:

It is the responsibility of executives and employees to be aware of rules and regulations of the Company as well as related laws. This includes laws that will be enacted in the future that are expected to impact them in managing and performing their duties.

Code of Conduct:

  • Company Personnel are required to study and understand effective government rules and regulations as well as those to be effective in the future.
  • Company Personnel seek no trade secret from the competitors with unlawful approaches.

Morality and Justice:

The Company ensures moral and fair treatments for its stakeholders to build strong business relationships as well as tolerates no discrimination in the workplace.

Code of Conduct:

  • Company Personnel must not discriminate and treat all stakeholders with fairness. Any privilege or benefits given to the customers must abide by practices under the Company’s policies.
  • The executives must manage their duties with prudence to gain trusts from shareholders so the shareholders agree that the actions are performed with fairness and they act in the best interest of the shareholders.
  • Company Personnel must be fair and non-discriminatory in hiring, recruiting, remuneration and benefit design, training, compliance, resignation, discharge and re-hiring as well as in participation of social and recreational activities.
  • Company Personnel must offer their services to the customers with honesty and must not take advantage of others or conduct fraudulent activities.
  • Company Personnel must abide by trade conditions agreed with trading partners/debtors with honesty and fairness.

Customer mindedness:

Company Personnel give priorities and attend to the customers by ensuring the quality of products and services that will result in customer satisfaction.

Code of Conduct:

  • Company Personnel must have sufficient knowledge about the Company’s products and services and must provide customers with correct and adequate information.
  • Company Personnel must understand customer’s needs thoroughly before offering any product and service to the customers in order to best serve their needs. Company Personnel must always seek new knowledge and accumulate their experience to enhance customer’s satisfaction.
  • Company Personnel must treat customers with politeness and respect as well as use polite words in communicating with the customers.
  • Company Personnel must have a positive attitude towards customer services. Company Personnel must put customers first and put their best efforts at work to ensure valuable and effective services to attain service excellence.
  • Company Personnel must respect the customer’s decisions and opinions and must not violate their privacy rights.

Social Responsibility:

The Company highly regards responsibilities to the society and communities as a major mission of the Company and initiates projects and activities that give back to the society and communities.

Code of Conduct;

  • Company Personnel shall participate in or initiate social activities that promote social development and public services such as educational and environmental activities.
  • Company Personnel must realize the importance of their participation in natural resources conservation as well as put the best effort to assist the Company in avoiding activities that will pollute or negatively impact nature, environment or related eco-systems.
Ethical Conducts

The Company stipulates normal practices for its personnel as a guideline in performing their duties as follow

Leadership:

Executives shall have ethics and conform to their proper leadership roles. They also shall comply with social norms and act in the benefit of the Company’s management.

Code of Conduct:

  • Company Personnel must show their visions in managing their tasks and must be fully aware of their responsibilities as well as must be accountable for the outcomes of their actions in order to gain trust and acceptance from the society.
  • Company Personnel must procure and apply quality management as well as suitable innovations to streamline work processes and enhance efficiency in their works. Besides, training and development programs must be promoted and ensured that they are in line with adopted quality management and innovations so that the Company can attain sustainability and business leader status.
  • Company Personnel must investigate all complaints from stakeholders or others to seek facts and solve the issues with speed and justice. Nevertheless, executives may not take actions regarding complaints through anonymous letters.
  • Company Personnel must promote leadership among employees and encourage all levels of employees to take part in developing the Company.
  • Company Personnel must participate in and encourage employees to involve in public services activities for the society and communities in order that the Company contributes to the development of the community and builds strong relationships with community members and the general public.

Honesty :

Company Personnel must perform their duties with fairness and act in the best interest of the Company

Code of Conduct:

  • Company Personnel must be fair and unbiased in performing their tasks and never use their authority and power to seek benefits for themselves or others rather than the Company.
  • Company Personnel must not intentionally file or record a false or erroneous report or conceal or present false information about the Company. When mistakes are found in reports or memos, the supervisors must be notified immediately.
  • Company Personnel must efficiently and effectively manage their time in executing their tasks as mandated in the rules and regulations. Moreover, they must refrain from persuading their colleagues or subordinates to spend working time on other activities not contributing to the interest of the Company or the shareholders.
  • Company Personnel must undertake the assignments with their best efforts and be responsible for the outcome of their actions.

Compliance to laws and internal and external rules and regulations:

Company Personnel must comply with applicable laws that are related to the Company’s business as well as internal rules and regulations. Company Personnel must also abstain from any actions that tarnish the reputation of the Company.

Code of Conduct:

  • Company Personnel must not violate, avoid, defy or ignore rules and regulations, notices or commands of the Company including rightful orders from the supervisors.
  • Company Personnel must not produce or possess illegal articles for personal use, sale, or other people.
  • Company Personnel must use communication and computer systems responsibly. Company Personnel shall not act in the way that supports disharmony, discouragement or hostility in workplace or causes damages to others.
  • Company Personnel must not use communication and computer systems in illegal activities or other activities not in accordance with the Company’s policies. Company Personnel must not use internet or similar services to cause damages to the Company’s reputation and creditworthiness.
  • Company Personnel must strictly abide by the Company’s announcements associated with computer-related crime.

Protection of assets:

Company Personnel shall look after and use company assets only in the manners intended for the best interest of the Company.

Code of Conduct:

  • Company Personnel must comply with safety procedures in using equipments and tools as well as operating in the work environment.
  • Company Personnel must not use, sell, lend or transfer the Company’s assets without permissions whatever condition that asset is.
  • Company Personnel must not intend to cause damages, sabotage or destroy the Company’s assets.
  • Company Personnel must not use the Company’s assets for their own benefit or the benefit of external parties without permissions from supervisors.
  • Company Personnel must try to acquire and protect pertinent patents, copyrights and trademarks that are intellectual properties of the Company

Conduct toward superiors, colleagues and subordinates:

Company Personnel shall ensure that working environment is free from privacy right violations and support collaborative and open atmosphere where people share opinions and collectively solve work issues as well as respect each other.

Code of Conduct:

  • Company Personnel must not provoke, accuse or mock others where the actions will lead to discord as well as avoid plagiarism.
  • Company Personnel must not act in the way that sexually harasses colleagues. In case of such incidents, they must immediately report the supervisors.
  • Company Personnel must have disciplines and must not engage in any activity that disrespect the superiors. Colleagues and subordinates must be treated with politeness, kindness and good rapport.

Good citizenship:

Company Personnel shall be good citizens who live harmoniously with others in the society with dignity.

Code of Conduct:

  • Company Personnel must have morals and ethics as well as continuously seek more knowledge in order to efficiently perform their duties.
  • Company Personnel must not act in the way that bothers other people. Company Personnel must not verbally harass others; drink alcohol during work, gamble, use drugs or any other actions that are morally inappropriate.
  • Company Personnel must not carry any kind of weapon to workplace except when permission from high-ranked superiors is granted.

Offers of Improper Benefits:

Company Personnel and their intimates shall not accept any financial benefits or other advantages from the Company’s business connections where it can be perceived as a case of preferential treatment that can cause damages to the Company.

Code of Conduct:

  • Company Personnel, relatives or others residing in the same property must not solicit or accept invitations to join social or sport events or parties or rewards, gifts or other benefits for themselves or other people from their business contacts.
  • Company Personnel may accept benefits or gifts for the purpose of business promotion or advertisement or it is appropriate according to social norms but are subject to the minimum limit of 3,000 baht. In case that the value exceeds the limit, the Company Personnel must report the supervisor in writing and present that advantage or gift to the Company.
  • In case that Company Personnel represent the Company at a business partner’s event or participate in a external training/seminar and receive an advantage or gift worth more than 3,000 baht from lucky draw, lotto or as a souvenir, they must report the supervisor in writing and present that advantage or gift to the Company.

Conflict of interest:

Company Personnel must not engage in any action that possibly lead to conflict of interest with the Company.

Code of Conduct:

  • Company Personnel, relatives and others residing in the same property must avoid any business or activity that conflicts with the interest of the Company or the perception of such conflicts either directly or indirectly.
  • Company Personnel must not cooperate with family members or intimates in conducting business or activity that conflicts with the interest of the Company either directly or indirectly. To avoid such conflicts, Company Personnel must disclose nature of the relationships with family members or relevant others to the supervisor in writing.

Use of Company’s Information:

Company Personnel must not misuse the Company’s information to pursue their own private interests.

Code of Conduct:

  • Company Personnel must be careful in handling the Company’s information and not to allow others to hear, eavesdrop or record. Company Personnel should not converse in public using communication equipments or discuss with family members or intimates about the Company’s information that others can use.
  • Company Personnel must strictly file and classify information according to the Company’s rules and regulations.
  • Company Personnel must not disclose the Company’s information to unauthorized persons according to the Company’s rules and regulations or business agreements except that a written permission from an authorized person or a responsible authority is given.
  • Company Personnel must not use the Company’s information for stock trading or send the information to others for such purposes.

This Code of Business Conduct and Ethics is a disciplinary procedure that Company Personnel must understand and comply with. Any violation of this Code of Business Conduct and Ethics will not be tolerated. In case of ambiguity or issues not specified in this Code, Company Personnel must seek advice from their supervisors in order to find solutions or appropriate code of conduct for the matter.

I acknowledge that disciplinary action will be taken in case that my action is in breach of this Code of Business Conduct and Ethics of Mc Group Public Company Limited and other subsidiaries.
